what does this do exactly does i turn say a rom "goldeneye.n64" into goldeneye.z64" ? or jus rename the rom file name? does it reformat the rom?

I believe it will rename the rom according to title and country.

And there are plenty of utilities for the PC that will do the same job. Why have one for the PSP?
